The one amendment, briefly

The 8-K/A amends an original Form 8-K from April 20, 2026, adding compensation figures the April filing left out: a $3 million salary for Ternus, a $2 million salary for Cook effective September 26, 2026, and equity award targets of $55 million and $45 million respectively for fiscal 2027. It is the only filing this month that is not an insider transaction report.

The insider filings, briefly

The remaining four filings are Section 16 reports covering two people: Ternus’s opening stock position and new grant, filed the day he joined the board, and two scheduled stock sales by general counsel Jennifer Newstead under a trading plan she adopted in May. No other Apple officer or director has filed a Form 4 with the SEC since September 1, 2026.

What has not been filed

Apple’s last DEF 14A proxy statement was filed January 8, 2026, ahead of its annual meeting of shareholders on February 24, 2026. Nothing in the DEF 14A, DEFA14A, or PRE 14A categories has followed since.
